1. Introduction

Welcome to Nextrasys ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website and our software-as-a-service (SaaS) products, including NextraPulse (Hospital Management System) and NextraHR (Workforce Intelligence) (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access the Services. These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Nextrasys, located at #159-Ground Floor, Techpark, Noida, NCR, India.

2. Software Licensing & Usage

Subject to your compliance with these Terms and payment of applicable fees, Nextrasys grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business operations.

• You agree not to reverse engineer, decompile, or disassemble the source code.
• You shall not use the Services to build a competitive product.
• A single license covers one institutional entity (e.g., one hospital branch) unless otherwise specified in your Service Level Agreement (SLA).

3. Data Privacy & Ownership

Please refer to our Privacy Policy for information on how we collect, use, and disclose information from our users. You acknowledge and agree that your use of the Services is subject to our Privacy Policy.

Customer Data: You retain all rights, title, and interest in and to the data you input into the Services ("Customer Data"). You grant Nextrasys a worldwide, limited license to host, copy, transmit, and display your Customer Data as necessary for us to provide the Services.

4. Payment Terms

Services are billed on a subscription basis (Monthly/Annually). All fees are exclusive of applicable taxes, including GST (Goods and Services Tax), which will be charged at the prevailing rate (currently 18%). Payments are non-refundable generally, except as required by law.

5. Limitation of Liability

To the maximum extent permitted by applicable law (including the Indian Contract Act, 1872), Nextrasys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from yours access to or use of or inability to access or use the Services.

6. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these terms, usage of our services, or privacy shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
